Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tekglen HR Intelligence Platform ("Service") provided by Tekglen ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have the authority to bind your organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Tekglen provides an HR Intelligence Platform that connects to your organization's ERP and HR systems, processes employee queries through AI-powered agents, and delivers workforce analytics and intelligence. The Service includes:

• Tekglen Ask: An AI-powered HR assistant for employee queries.
• HR Intelligence Dashboard: Analytics and actionable insights for HR leaders.
• ERP Integration: Connections to Workday, SAP SuccessFactors, BambooHR, and other HR systems.
• Workforce Signal Detection: Automated identification of patterns and risks.

3. Account and Access

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information during registration.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access.

4. Your Data

4.1 Ownership

You retain all ownership rights to the data you provide to the Service ("Your Data"). We do not claim ownership of Your Data.

4.2 License

You grant us a limited license to process Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.

4.3 Data Processing

We process Your Data in accordance with our Privacy Policy and applicable data protection laws. Your Data is logically isolated from other tenants at all times.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorized access to the Service or its systems.
• Reverse engineer, decompile, or disassemble the Service.
• Use the Service to store or transmit malicious code.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to make employment decisions based solely on automated processing without human review.

6. AI and ML Disclaimer

The Service uses artificial intelligence and machine learning to process queries and generate insights. While we strive for accuracy:

• AI-generated responses should be verified for critical HR decisions.
• The Service is not a substitute for professional HR, legal, or compliance advice.
• Intelligence insights are based on available data and may not capture all factors.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Free tier services may have additional limitations.

8. Intellectual Property

The Service, including its software, algorithms, design, and documentation, is owned by Tekglen and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Tekglen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless Tekglen from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate these Terms with 30 days written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we will delete Your Data within 90 days.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
